1. Who we are and what these terms cover

504 Sites is a website service of BearSoft LLC, based in New Orleans, Louisiana ("504 Sites", "we", "us"). These terms apply when you ("you", "the client") sign up for our website plan, whether online through our Stripe checkout or by signing an agreement with us. By signing up, you agree to these terms. If you've signed a separate written agreement with us, that agreement applies where it differs from these terms.

2. What the plan includes

For $89 a month, we:

  • design and build a custom website for your business
  • host it, with a free SSL certificate (the padlock in the address bar)
  • back it up daily
  • keep it updated and apply security patches
  • provide support from real people, by email or through our contact form
  • make changes and updates to your site after launch

Bigger requests, such as new features, online stores, integrations with other software or a complete redesign, go beyond the plan. We'll talk them through with you first and tell you the cost, if any, before starting.

3. Building your website

Most websites are live within 2–4 weeks of receiving your content. To keep things moving, you agree to send us your text, photos, logo and other materials, and to review the draft site, within a reasonable time when we ask. If we don't receive content we need, we may use professionally written text and licensed images so your site can launch, and you can ask us to change them at any time.

4. Billing

  • The plan costs $89 a month, plus any sales tax that applies.
  • Payments are taken automatically each month from the card or account you sign up with, through our payment processor, Stripe. Your first payment is taken when you sign up.
  • If a payment fails, we'll let you know and give you time to update your payment details. If the balance is still unpaid after 30 days, we may take your website offline until it's paid.
  • We'll give you at least 30 days' notice before any change to your monthly price.

5. The 12-month term

Your plan starts with an initial term of 12 months, beginning on your first payment. The low monthly price spreads the cost of designing and building your website over that term, instead of charging thousands of dollars upfront. When the initial term ends, your plan continues month to month until either of us cancels it.

6. Cancelling

To cancel, email us at hello@504sites.com. Your cancellation date is the day we receive your email.

During the first 12 months:

  • There's an early cancellation fee of $995, due within 10 business days of your cancellation. It covers the design, building and setup work that the remaining monthly payments would have paid for.
  • Once the fee is paid, we package up your complete website and send it to you, so you can host it anywhere you like.
  • If the fee isn't paid, your website is taken offline and the files are not provided.

After the first 12 months:

  • You can cancel at any time with 30 days' notice. There's no cancellation fee.
  • Your plan and website stay active until the end of the notice period.
  • We package up your complete website and send it to you for free, so you can host it anywhere you like. Then we take it off our hosting.

Either way, we'll handle the handover professionally. Monthly payments already made aren't refunded, and no further monthly payments are taken after your plan ends.

We may end the plan if you break these terms in a serious way, such as using the website for something illegal, and we'll give you notice when we reasonably can.

7. Who owns what

  • Yours: your business name, logo, and the text, photos and other content you give us. Your domain name (yourbusiness.com) stays yours, and we'll help you point it wherever you need it.
  • Provided as part of the plan: the website we design and build for you (its design, code and setup) is yours to use for as long as your plan is active. When you receive your website package under section 6, you can use and host it anywhere.
  • Ours: the tools, templates and know-how we use to build websites, which we use for other clients too.
  • We may show your website in our portfolio, on our Clients page and in our marketing. If you'd rather we didn't, just tell us.

8. Your responsibilities

  • The information and content you give us must be accurate, and you must have the right to use it.
  • Your website must not be used for anything illegal, harmful or misleading. We may remove content that breaks this rule.
  • You're responsible for the products and services you offer through your website, and for what your website says about them.

9. Hosting, backups and other services

We work hard to keep your website fast, secure and online, but no website can be guaranteed to be available all the time. Hosting providers, domain registrars, payment processors and other outside services we rely on can have outages that are outside our control. If something goes wrong, we'll work to fix it quickly, using our daily backups when needed.

10. Limits on our liability

We provide the plan with reasonable care and skill. To the extent the law allows, we aren't liable for indirect or consequential losses, such as lost profits or lost business, and our total liability to you for any claim is limited to the amount you paid us in the 3 months before the claim arose. Nothing in these terms limits liability that can't be limited by law.

11. Changes to these terms

We may update these terms from time to time. We'll post the new version on this page with a new date, and we'll tell you by email about any change that significantly affects your plan.

12. Governing law

These terms are governed by the laws of the State of Louisiana.
